Welcome to Hanasu ("we," "our," "us," or the "Service"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Hanasu governing your access to and use of our AI-powered language learning platform available at hanasu.ai (the "Platform").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

Age Requirements and Parental Consent

Users Under 13 Years of Age

Our Service is NOT intended for children under the age of 13 without express written parental consent. If you are under 13 years of age, you may NOT create an account or use our Service unless your parent or legal guardian has:

  1. Reviewed these Terms and our Privacy Policy
  2. Provided verifiable written consent
  3. Agreed to be bound by these Terms on your behalf
  4. Agreed to supervise your use of the Service

We comply with the Children's Online Privacy Protection Act (COPPA) and will delete accounts of users under 13 who do not have proper parental consent.

Users Ages 13-17

If you are between 13 and 17 years of age, you may use our Service but we strongly encourage you to review these Terms with your parent or guardian. By using the Service, you represent that you have permission from your parent or guardian to use the Service and that they have reviewed these Terms.

Parental Responsibility

Parents and guardians who consent to their child's use of the Service agree to:

  • Supervise their child's use of the Platform
  • Be responsible for all activities under their child's account
  • Ensure their child complies with these Terms
  • Be liable for any violations of these Terms by their child

Account Registration and Security

Account Creation

You represent and warrant that:

We are not liable for any loss or damage arising from your failure to maintain account security.

Account Suspension and Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for:

  • Violation of these Terms
  • Fraudulent, abusive, or illegal activity
  • Prolonged inactivity
  • Requests from law enforcement or government agencies
  • Technical or security reasons

You may terminate your account at any time through your account settings or by contacting us at support@hanasu.ai.

Description of Service

AI-Powered Language Learning

Hanasu provides an AI-powered conversational platform for language learning, utilizing artificial intelligence technology (including OpenAI's services) to generate interactive language practice conversations. The Service includes:

  • AI-generated conversation partners for language practice
  • Real-time voice and text-based conversations
  • Progress tracking and learning analytics
  • Practice reminders and scheduling features
  • Vocabulary and grammar feedback

Educational Purpose

The Service is designed for educational purposes only. While we strive to provide high-quality language learning experiences, the Service should be used as a supplemental learning tool and not as a replacement for:

  • Formal language education or instruction
  • Professional translation services
  • Official language certification or testing
  • Legal, medical, or professional language interpretation

AI-Generated Content Disclaimer

Nature of AI Content

IMPORTANT: The conversations, responses, and educational content generated by our Service are produced by artificial intelligence systems. You acknowledge and agree that:

  1. No Guarantee of Accuracy: AI-generated content may contain errors, inaccuracies, or inappropriate responses. We do not guarantee the accuracy, completeness, or suitability of any AI-generated content.

  2. Not Professional Advice: AI-generated content does not constitute professional language instruction, translation services, or advice. Do not rely solely on AI-generated content for important decisions.

  3. Educational Simulation: The AI conversation partners simulate human conversation for educational purposes but are not human instructors or native speakers.

  4. Potential Biases: AI systems may reflect biases present in their training data. We work to minimize such biases but cannot guarantee their complete absence.

  5. Unpredictable Outputs: Despite our best efforts, AI systems may occasionally produce unexpected, nonsensical, or inappropriate content. We continuously monitor and improve our systems to minimize such occurrences.

  6. Not Certified Content: AI-generated language lessons do not constitute certified educational content and should not be treated as equivalent to accredited language courses.

Content Limitations

The AI-generated content:

  • May not be culturally appropriate for all contexts
  • May not reflect current events or recent information
  • May contain outdated language usage or expressions
  • Should be verified for critical or professional applications

User Responsibilities and Acceptable Use

Permitted Uses

You may use the Service to:

  • Practice language skills through AI-generated conversations
  • Track your learning progress
  • Access educational content and resources
  • Participate in language learning activities

Prohibited Uses

You agree NOT to:

Technical Abuse

  • Attempt to circumvent, disable, or interfere with security features
  • Use automated systems (bots, scrapers, robots) to access the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Attempt to gain unauthorized access to our systems or networks
  • Overload or disrupt the Service's infrastructure

Content Violations

  • Generate, request, or share content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
  • Use the Service to create or disseminate misinformation or disinformation
  • Attempt to generate content that violates intellectual property rights
  • Use the Service for any fraudulent or deceptive purposes

Misuse of Educational Purpose

  • Use the Service to cheat on exams, assignments, or academic work
  • Misrepresent AI-generated content as your own original work
  • Use the Service in violation of your school's academic integrity policies
  • Rely on AI-generated translations for official or legal documents

Commercial Misuse

  • Use the Service for commercial purposes without our written permission
  • Resell, sublicense, or redistribute access to the Service
  • Create derivative services or products based on our Service
  • Use the Service to compete with us or build similar products

Discrimination and Harassment

  • Use the Service in any manner that discriminates based on race, ethnicity, religion, gender, disability, or other protected characteristics
  • Harass, threaten, or intimidate others
  • Impersonate any person or entity

Violation of Rights

  • Violate any applicable laws or regulations
  • Infringe upon intellectual property or privacy rights
  • Collect personal information about other users without consent

Consequences of Violations

Violation of these prohibitions may result in:

  • Immediate termination of your account
  • Legal action and liability for damages
  • Reporting to law enforcement authorities
  • Permanent ban from the Service

Intellectual Property Rights

Our Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Hanasu. The Service is protected by copyright, trademark, and other intellectual property laws. This includes but is not limited to:

  • The Hanasu name, logo, and branding
  • Software code, algorithms, and technology
  • User interface and design elements
  • Educational content and methodologies
  • AI prompts and conversation frameworks

You may not use our intellectual property without our prior written consent, except as expressly permitted by these Terms.

Your Content

You retain ownership of any original content you create while using the Service ("User Content"), including:

  • Personal information and profile data
  • Learning preferences and settings
  • Conversation inputs you provide to the AI

By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to:

  • Store and process your User Content to provide the Service
  • Analyze your User Content in aggregate form to improve the Service
  • Use de-identified conversation data to train and improve AI models

We will not:

  • Sell your personal User Content to third parties
  • Use your identifiable conversation data for marketing purposes
  • Share your User Content publicly without your consent

AI-Generated Content Ownership

Important: Content generated by the AI during your use of the Service ("AI Output") may not be protected by copyright under current U.S. law, as copyright requires human authorship. You acknowledge that:

  • You may use AI Output for personal educational purposes
  • You may not claim copyright ownership of AI Output
  • We do not claim ownership of AI Output created during your sessions
  • You are responsible for ensuring AI Output does not infringe third-party rights
  • You must comply with applicable laws when using AI Output

Third-Party Services

Our Service uses OpenAI's technology. Your use of AI-generated content is also subject to OpenAI's usage policies and terms of service. You agree not to use AI Output in violation of OpenAI's policies.

Subscription Plans and Payment Terms

Subscription Tiers

We offer both free and paid subscription plans:

Free Tier

  • Limited daily and monthly message quotas
  • Access to basic conversation features
  • Limited practice frequency

Premium Tiers (Monthly and Annual)

  • Unlimited conversation messages
  • Advanced features and priority access
  • Enhanced learning analytics
  • Premium support

Payment Processing

Payments are processed securely through our third-party payment provider (Polar.sh). By subscribing to a paid plan, you agree to:

  • Provide accurate and current payment information
  • Pay all applicable fees and charges
  • Authorize automatic recurring billing (for subscriptions)
  • Be responsible for all taxes associated with your subscription

Billing and Renewal

  • Subscriptions automatically renew at the end of each billing period unless canceled
  • You will be charged the then-current subscription rate
  • We will provide advance notice of any price changes
  • Cancellations take effect at the end of the current billing period

Refund Policy

  • Refunds are evaluated on a case-by-case basis
  • No refunds for partial billing periods
  • Contact support@hanasu.ai within 7 days of purchase for refund requests
  • We reserve the right to refuse refunds for policy violations

Free Trial (If Applicable)

If we offer a free trial:

  • Only one free trial per user
  • Valid payment method required
  • Automatic conversion to paid subscription unless canceled
  • We may terminate trials at our discretion

Price Changes

We reserve the right to change subscription prices with 30 days' notice. Existing subscribers will be grandfathered at their current rate for their current billing period.

Privacy and Data Protection

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Service, you consent to:

  • Our collection and use of your data as described in the Privacy Policy
  • The processing of your conversation data to provide AI-generated responses
  • Analytics tracking to improve the Service
  • Session recordings for authenticated users (as described in the Privacy Policy)

Educational Use in Schools

School Accounts

If you are using the Service as part of a school or educational institution:

  • Your school may have additional agreements with us
  • Your school's policies and our Terms both apply
  • Your school administrators may have access to your account data
  • FERPA protections apply to student education records

Teacher and Administrator Responsibilities

Teachers and administrators using our Service agree to:

  • Obtain necessary parental consents as required by law
  • Comply with their institution's acceptable use policies
  • Supervise student use of the Service
  • Not violate student privacy rights
  • Report any violations or concerns to us promptly

Student Data Protection

When used in educational contexts, we act as a "school official" under FERPA. We:

  • Use student data only for authorized educational purposes
  • Implement appropriate security measures
  • Do not sell student data
  • Allow schools to control and delete student data
  • Comply with state student privacy laws (SOPIPA, etc.)

Disclaimers and Limitations of Liability

Service Provided "AS IS"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Accuracy: We do not warrant that AI-generated content is accurate, complete, reliable, or error-free
  • Educational Outcomes: We do not guarantee that use of the Service will result in language proficiency or learning outcomes
  • Availability: We do not warrant uninterrupted, timely, secure, or error-free access
  • Quality: We do not warrant that the Service will meet your requirements or expectations
  • Third-Party Services: We are not responsible for third-party services (OpenAI, payment processors, etc.)

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  1. Your use or inability to use the Service
  2. Any AI-generated content or learning materials
  3. Unauthorized access to or use of your account
  4. Any errors, mistakes, or inaccuracies in content
  5. Personal injury or property damage resulting from use of the Service
  6. Any bugs, viruses, or harmful code transmitted through the Service
  7. Any service interruptions or outages
  8. Any third-party conduct or content

TOTAL LIABILITY CAP: Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

Essential Purpose

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

User Responsibility for AI Content

You are solely responsible for:

  • Evaluating the accuracy and appropriateness of AI-generated content
  • Any decisions or actions taken based on AI-generated content
  • Verifying AI-generated information before relying on it
  • Complying with academic integrity and ethical use policies

Indemnification

You agree to indemnify, defend, and hold harmless Hanasu, its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  1. Your violation of these Terms
  2. Your violation of any rights of another party, including intellectual property rights
  3. Your misuse of the Service or AI-generated content
  4. Your User Content or any content you submit
  5. Your violation of any applicable laws or regulations
  6. Any fraudulent or malicious actions taken through your account
  7. Claims made by third parties based on your use of the Service

This indemnification obligation survives termination of these Terms and your use of the Service.

Termination

Termination by You

You may terminate your account at any time by:

  • Using the account deletion feature in your account settings
  • Contacting us at support@hanasu.ai
  • Ceasing to use the Service

Upon termination by you:

  • Your access to the Service will be revoked
  • Your subscription will be canceled (no refund for remaining period)
  • Your data will be deleted within 30 days per our Privacy Policy

Termination by Us

We may terminate or suspend your access immediately, without prior notice or liability, for any reason, including but not limited to:

  • Breach of these Terms
  • Suspected fraudulent, abusive, or illegal activity
  • Prolonged inactivity (3+ years)
  • Violation of our community standards
  • Protection of our rights or the rights of others
  • Compliance with legal requirements

Effects of Termination

Upon termination:

  • Your right to use the Service immediately ceases
  • We may delete your account data per our retention policy
  • Provisions that by their nature should survive termination shall survive (including disclaimers, limitations of liability, indemnification, and governing law)

Changes to Terms

Modification Rights

We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of material changes by:

  • Posting the updated Terms on this page with a new "Last Updated" date
  • Sending an email notification to your registered email address
  • Displaying a prominent notice on the Service

Acceptance of Changes

  • Material changes: We will provide at least 30 days' notice before new terms take effect

Dispute Resolution and Governing Law

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Informal Resolution

Before filing a claim, you agree to contact us at support@hanasu.ai and attempt to resolve the dispute informally. We will attempt to resolve the dispute informally by contacting you via email.

Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

You and Hanasu agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service shall be settled by binding arbitration, except that either party may bring suit in court for injunctive or equitable relief.

Arbitration terms:

  • Conducted by the American Arbitration Association (AAA) under its rules
  • Location: San Francisco, California, or your home location
  • Individual basis only (no class actions)
  • Arbitrator's decision is final and binding

Exceptions to Arbitration

The following disputes are not subject to arbitration:

  • Disputes seeking injunctive or equitable relief
  • Small claims court actions (if qualified)
  • Intellectual property disputes

Class Action Waiver

YOU AND HANASU AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

If this waiver is found to be illegal or unenforceable, neither you nor we are entitled to arbitration.

Jurisdiction and Venue

For any disputes not subject to arbitration, you agree to submit to the personal jurisdiction of the state and federal courts located in San Francisco County, California.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements posted by us on the Service, constitute the entire agreement between you and Hanasu regarding your use of the Service.

Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of law, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms or any rights hereunder without restriction or notification.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or fuel crises.

Relationship

Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and Hanasu. You have no authority to bind us or make commitments on our behalf.

Third-Party Rights

These Terms do not confer any third-party beneficiary rights.

Export Control

You agree to comply with all applicable export and import control laws and regulations in your use of the Service.

Language

These Terms are written in English. Any translated versions are provided for convenience only. In case of conflict, the English version controls.
